Nominations For 2017 Board Of Directors Vacancies Made By Nominating Committee

In accordance with the by-laws of the Mammoth Site of Hot Springs, SD, Inc., the nominating committee of the Board of Directors nominated the following board members to continue to serve on the board for:

Three-year terms expiring in 2020:

Robert Preuss, Anna Merrill, John Pence and Amy Spears.

The Board of Directors on November 30, 2017, accepted the recommendations of the nominating committee.

In addition to the above nominees, every member of the corporation residing in Fall River County, South Dakota, entitled to vote at the annual meeting who may be interested in running for a vacancy may either nominate himself or nominate another member of the corporation entitled to vote and over the age of 18 by a petition signed by not less than three (3) members of the corporation residing in Fall River County, South Dakota. Only one (1) member of a family membership may sign such a petition. The nominating petition of any individual shall state the name and address of the person running for Director, that the person is over the age of 18 years, and each member signing said petition shall also date his or her signature and place his or her address on the petition. It will not be necessary for any member entitled to vote to nominate a person already nominated by the nominating committee nor will it be necessary for a person nominated by the nominating committee to have a separate nominating petition.

If so requested, the Secretary shall furnish any member of the corporation, a nominating petition, either by delivering the nominating petition in person or mailing the same by first-class mail to the person so requesting the petition.

The petition must be filed with the Secretary of the corporation on or before December 15 of each year. Any petition received which has been mailed by first-class mail, postage prepaid, and postmarked on or before December 15 prior to the annual meeting shall be deemed to have been filed in sufficient time.

After December 15 and not later than 10 days prior to the annual meeting, the Secretary of the corporation shall, by first-class mail inform the members of the corporation residing in Fall River County of the nominations made by the nominating committee of the Board of Directors and a list of the nominations made by nominating petition.

If the nominations do not exceed the vacancies on the board, then all nominees shall be elected at the annual meeting.

There shall be no nominations from the floor.
